Terms of Service

These Terms of Service ("Terms") govern your access to and use of AgBaseline (the "Service"), provided by PapaSpuds LLC ("we," "us," or "our"). By creating an account or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization (for example, a bank or lending institution), you represent that you have the authority to bind that organization to these Terms.
AgBaseline is the successor to AgCollateral360. If your organization was a customer of AgCollateral360, your account and agreement continue under AgBaseline and these Terms without interruption. AgBaseline is a separate product from My AgCounts, which continues to operate independently under its own terms.
1. The Service
AgBaseline is an application for agricultural lenders and inspection firms to build borrowing-base collateral inspection workbooks (livestock, receivables, inventory, and related collateral categories), generate inspection reports, and separately record field-level inventory counts (locations, quantities, and photographs) as supporting evidence for those reports.
2. Accounts
- Accounts are provisioned by us or by your organization's Admin — the Service does not currently offer open self-service sign-up for production use.
- You must keep your login credentials confidential and are responsible for all activity that occurs under your account, whether or not you personally performed it.
- An organization's Admins may invite, remove, and manage the role of other members within that organization, and may reassign inspections created by members of their organization.
3. Subscriptions and Billing
Paid billing is not yet active for the Service. Pricing and billing terms will be added to this section, and you will be notified with reasonable advance notice, before any paid plan takes effect for your organization.
4. Your Data
- You (or your organization) retain ownership of the inspection data, field counts, photographs, and reports you create using the Service.
- You grant us a limited license to host, process, and display that data solely as necessary to provide the Service to you (for example, generating a report export or displaying it to your organization's members).
- You're responsible for ensuring you have the right to capture and store any photographs, location data, borrower information, or other information you submit through the Service, and that doing so complies with your own organization's policies and applicable law.

5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms.
- Attempt to gain unauthorized access to any account, data, or system, including data outside your organization's boundary.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse-engineer or attempt to extract the source code of the Service, except as permitted by law.
- Submit falsified inspection or field-count data, or knowingly misrepresent collateral records through the Service.
6. Termination
Your organization's Admin may request account changes or deactivation at any time by contacting us. We may suspend or terminate access to the Service for any account that violates these Terms. Provisions of these Terms that by their nature should survive termination (including data ownership, disclaimers, and limitation of liability) will survive.
7. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. AI-generated narrative report drafts are a starting point for the inspector's own review and judgment, not a substitute for it — you are responsible for reviewing and correcting any AI-drafted content before it is relied upon.
8. Limitation of Liability
To the maximum extent permitted by law, PapaSpuds LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the amount you paid us in the twelve months preceding the claim.
9. Governing Law
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles.
10. Changes to These Terms
We may update these Terms from time to time. We'll update the "Last updated" date above when we do. Continued use of the Service after a change constitutes acceptance of the updated Terms.
